Terms & Conditions for MenuSnap

Introduction

Welcome to MenuSnap ("we", "us", or "our"). These Terms & Conditions ("Terms") govern your use of our mobile application ("MenuSnap" or "App"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Use of the App

1.1. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the terms and conditions set forth herein.

1.2. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal and business purposes, subject to these Terms.

1.3. Prohibited Conduct

You agree not to use the App for any unlawful purpose or in any way that might harm, damage, or disparage any other party. You further agree not to:

• Violate any applicable laws or regulations.
• Engage in any activity that could harm, disrupt, or interfere with the App or servers.
• Upload or distribute any virus, malware, or other harmful content.
• Use any automated system to access the App in a manner that sends more request messages than a human can reasonably produce in the same period.
• Attempt to gain unauthorized access to any part of the App.

2. User Content

2.1. Responsibility for User Content

You are solely responsible for any content you upload, post, or otherwise transmit through the App ("User Content"). You represent and warrant that you have all necessary rights to the User Content and that it does not infringe any third-party rights.

2.2. License to User Content

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the App and our business.

3. Subscriptions

A subscription allows Customer and its Authorized Users to access the Services. A subscription may be procured through the Services interface, or in some cases, via an order form entered into between Customer and us (an “Order Form”). Subscriptions commence when we make them available to Customer and continue for the term specified in the Services or in the Order Form, as applicable (the “Subscription Period”).

4. Intellectual Property

4.1. Ownership

The App, including all content, features, and functionality, is owned by us and our licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2. Trademarks

MenuSnap and all related names, logos, product and service names, designs, and slogans are our trademarks. You must not use such marks without our prior written permission.

5. Cancellation

YOU CAN CANCEL YOUR SUBSCRIPTION AT ANY TIME BY PROVIDING US WITH AT LEAST TWENTY-FOUR (24) HOURS’ NOTICE PRIOR TO YOUR NEXT SUBSCRIPTION BILLING OF YOUR INTENT TO CANCEL. YOU MUST CANCEL YOUR SUBSCRIPTION BEFORE IT RENEWS IN ORDER TO AVOID BEING CHARGED FOR THE NEXT CYCLE’S FEES. If you cancel your subscription, the cancellation will become effective at the end of the then-current Subscription Period and you will continue to have access to your subscription through your account. If you cancel your subscription, we will retain your information in accordance with our Privacy Policy.

6. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

7. Disclaimers and Limitation of Liability

7.1. Disclaimers

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted or error-free.

7.2. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the App; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the App; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App.

8. Indemnification

You agree to indemnify, defend, and hold harmless MenuSnap, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

9. Termination

We may terminate or suspend your account and access to the App at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of the App, us, or third parties, or for any other reason.

10. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to these Terms or the App will be governed by the laws of [Your Country], without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in [Your Jurisdiction], and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
